1. I want to retain the existing layout and design

A co-working space is about collaboration amongst its residents while maintaining a fair level of privacy and giving everyone their private space. Typically, we find that existing corporate offices are designed for large teams that use open desk spaces with very few manager cabins and private offices. While these ratio work for a single occupier, smaller teams require a different design and configuration, so be ready to re-design and re-think the layout. 2. Co-working is only about selling by seat

“Ok, instead of pricing by area, I will price it by the seat, anything else?” We often hear this argument, where people reduce co-working to just a different method of pricing – on their mobile calculator apps, working out what’s the equivalent cost per seat. Previously we examined some of the legal issues you should examine before starting a coworking space. Now we look at some of the aspects of the user agreement that you need to consider.

1. Lease or Service agreement

Be clear about the type of engagement you want with the residents — do you want to sub-lease the property to your residents or you want them to provide the co-working space experience as a service. Sub-leases involve parting with the rights on the property and would need you to have the right to sub-lease on your original agreement, while a services agreement would be restricted to the services provided.

Lease agreements generally give more rights to the lessee (and sub-lessee) with respect to the use of the property and are more difficult to terminate. License agreement on the other hand provide limited rights to the user and does not get any rights on the property. Based on the type of engagement, choose your form of agreement, but clear on the duration of the agreement.

2. Minimum Level of services

A co-working space is more than just the providing some quality workspace. Make sure your agreement includes the details of the number of seats, internet speed, download limits, access to the meeting room etc. Disputes with the users normally arise with respect to additional users, temporary interns etc, so it’s better to have it all covered up front. The users do expect that you will comply by your promises and be prepared to have back up plans to keep your users satisfied. Some users may demand penal clauses for non-compliance of any of the terms, so negotiate hard.

3. Price

It’s all about money, honey! Whether you accept payments via cash, online transfers or via bitcoins, be specific about the charges. If you charge more for high speed internet, or for video conferencing put it in the agreement. Taxes may change over time, so ensure that agreement points it out clearly. 4. Code of conduct

This is a tricky one. People from diverse backgrounds will be working together at your co-working space — different types of businesses, work timing, client visits etc will mean that you will need to set some type of Do’s and Don’ts to everybody their individual space. As the service provider, you may be the person adjudicating on certain small matters, but then there are those that are illegal and requires immediate action — Racist slur, harassment, threatening behavior etc. These are core values around which the co-working space is built and you need to communicate it firmly to the users that violating these would not be tolerated.

5. Insurance

Disasters can strike despite our best efforts, and thankfully there is one way to compensate for any losses that we may suffer — insurance. As a space partner you can insure the assets that you own, but what about the assets brought in the user? If your insurance policy covers all these assets, great, but generally, you would expect them to get their own insurance on their assets. You can facilitate them to get an insurance easily and they would appreciate you for that, but be clear as to your liability in case of any damages due to electrical surge, theft etc. One never hopes to call in the insurance company, but if you have the right policy, at least you can still call them.

6. Breakaway / Termination

When nothing works, terminate the agreement. While most co-workers will break away for reasons other than being unhappy with your services, the agreement needs to codify the terms of termination and the duties and responsibilities of each party when that happens. So typically, you may want to cover issues like the lock-in period before which an agreement cannot be terminated, notice period, treatment of deposit etc. Sure, no one ever wants to read these clauses or wants the other the point to a clause stated here, but your agreement should still have them all.

As the owner of a co-working space, this is the most essential agreement you will sign, so it makes sense to invest a fair amount of time, effort and money to frame the right template. There is less than a week for the roll out of GST and like all other businesses, co-working centers and the coworkers need to gear up to meet the challenge. So are you ready for the transition, here is a quick take that can help you :

Registration By now we have most of you have filed the necessary documents to obtain the GST ID. If you have not, well, go to http://gst.gov.in and complete the formality.

Note that all those currently registered under Excise, VAT or service tax laws (along with a few others) need to compulsorily register under the GST Laws. Likewise, if your turnover in the year is likely to exceed Rs 20 Lacs, then go ahead and register now.

Tax Rate So far, the service tax on co-working space services and other allied services was 15%. Under the new regime, this will go up to 18%. Your output tax will depend on the nature of business you undertake, so refer to the tax rates notified under the GST Laws.

On the service charges charged by the co-working spaces, you will now be charged 18% tax, but the good news is you can claim this as input credit irrespective of the nature of business you are in (services, trading or manufacturing)

Input Credit So far, co-working centers could utilize the service tax paid on the input services – property rental, lease line cost etc to offset against the output liability. Now they will be able to obtain the GST credit even on materials used in providing the services – Computers, Housekeeping materials etc. Input credit can now be obtained for all material and services used in your business, including the capital goods.
What’s missing in GST right now. The GST law enacted right now, still leaves a few items outside its scope – of importance to the co-working spaces is Electricity and Diesel. So, the taxes paid on these two will continue to add up to your cost. Most businesses that work out of co-working spaces may not be impacted by the items that are not part of GST.

Surely, your co-working services’ cost would have been lower if fuel and electricity were part of GST.

What’s taxable in the co-working world Taxable:

Service charges for the space, charges for any other services, membership fees, charges for internet services and other amenities. Any reimbursement charged to the coworker is also chargeable to GST.

 Non-Taxable:

Security deposit collected from the coworkers will not be taxable. However, if the deposits are set off against any rental expenses, then the same shall be taxable.


Unregistered Dealers

It is quite common that new co-working spaces will take some time before they breach the limit required for compulsory registration. Likewise, many small enterprises and freelancers who work as coworkers may not be registered under GST. So it’s important to understand the following:

Extending the logic of purchasing from unregistered dealers, the co-working space will have to pay GST on purchase of services and goods from small service providers, retailer who are unregistered dealers. So, look up your invoices carefully.

While the idea of GST was well intentioned to reduce the cascading effect of tax, and for more most part it does solve that problem – like the co-working space being able to obtain tax credit on their fixtures that was otherwise lost, the mechanism to operationalize this is complicated.

All registered dealers will now need to file multiple returns – one detailing the output GST generated by them through sales and services, one claiming the input tax on goods and services, and lastly the net payment / refund. Since every business will depend on their service providers to correctly upload the details of the input taxes that they can obtain, you will need the entire supply chain to be equally efficient.
